SLOANEBUILT TRAILERS TERMS AND CONDITIONS
Sloanebuilt will supply Goods or Services to Buyer on the following Terms and Conditions (Terms) unless otherwise notified or agreed to by Sloanebuilt in writing. SBT means Sloanebuilt Trailers Pty Ltd ACN 003 433 725 or any of its related bodies corporate as specified in the relevant invoice.
1. Interpretation 1.1 In these Terms: Buyer means the purchaser of the Goods or Services set out in the Invoice or the document to which these Terms are attached. Confidential Information means any information provided by SBT to Buyer (whether in writing, electronically, verbally, or otherwise) under these Terms which is: (a) marked by SBT as confidential; (b) provided by SBT on a confidential basis; or (c) otherwise by its nature reasonably identifiable as confidential, including, without limitation, any business, marketing, product or process design or other technical, scientific, financial, or commercial information, or any quote, and including these Terms. However, Confidential Information does not include: (d) information already in possession of the receiving party or its subsidiaries at the time of disclosure as shown by tangible evidence; (e) information that is now or later becomes part of the public domain (other than as a result of any breach of confidentiality owed to SBT by any person); or (f) information that was independently developed by employees of Buyer or its subsidiaries who had no access to the Confidential Information as shown by tangible evidence. Goods means any goods provided by SBT to Buyer as described on the tax invoice or related documents. Intellectual Property Rights includes, without limitation, all rights, conferred by statute, common law or in equity and subsisting anywhere in the world in relation to copyright, inventions (including, patents, innovation patents and utility models), designs and design patents, trademarks, confidential information, trade secrets, technical data, know-how and rights in databases. Invoice means the document which may be provided to Buyer before or on delivery of the Goods or Services describing those Goods or Services, their price and which may contain reference to these Terms. Quote means the quote from SBT to buyer recognising buyer’s request to quote for goods. Purchase Order means a purchase order from Buyer to SBT for the purchase of Goods or Services.Purchase Price means the (tax inclusive) amount the buyer must pay SBT for the Goods or Services as shown on the tax invoice. Services means any services provided by SBT to Buyer as agreed between the parties, and which may include repair, maintenance or installation services, and any agreed warranty work.Terms and Conditions means the terms and conditions of sale set out in this agreement and includes any additional terms and conditions agreed in writing between SBT and the Buyer.
2. General These terms are non-exclusive. These terms are not a distribution, joint venture, franchise, agency or employment agreement or similar other relationship and confer no rights to exclusivity upon Buyer. Neither party is bound to affect any purchase or sale of any of SBT’s Goods or Services except to the extent of when an order or quote approval has been placed by the buyer and approved and accepted by SBT in accordance with these Terms. SBT reserves the right to decline any order for Goods or Services issued by the Buyer for any reason.
3. Supply of Goods or Services 3.1 Any Purchase Order, Quote, Order Confirmation, Invoice, or Online Order is to be subject to these Terms. Any deviation from these Terms will not be binding unless acknowledged in writing by SBT’s authorised representative. 3.2 These Terms constitute an offer by SBT to sell Goods or Services to Buyer and supersede any terms or conditions contained in any Purchase Order, Quote or Order Confirmation. Acceptance by SBT of any order is limited to these Terms and SBT objects to any additional or different terms which may be contained in any Purchase Order, Quote, Order Confirmation or other form or correspondence. Any additional terms and conditions may be agreed in writing between the parties.
4. Acceptance of Terms & Conditions: Buyer acknowledges and agrees that it understands, accepts and agrees to be bound by, and is deemed to have understood, accepted and agreed to be bound by, these Terms, by it doing one or more of: (a) signing and returning to SBT a signed copy of these Terms in original or electronic copy; (b) submitting its acceptance by way of online form; (c) acknowledging its acceptance by email; (d) informing SBT or its representative, in writing, that these Terms are accepted by Buyer; (e) submitting an order or approving a quote to SBT; (a) otherwise instructing SBT or its representative, in writing, to proceed with the supply of any Goods or performance of any Services; or (f) accepting receipt or delivery of any Goods or Services. 4.1 If Buyer engages in any act constituting acceptance through its representative (including a company or other entity), the Buyer represents and warrants to SBT that the representative has authority to bind Buyer.
5. Price and Payment 5.1 SBT will supply the Goods or Services to Buyer for the quoted price and in Australian dollars. 5.2 Payment is to be made at checkout and before receipt of the Goods. Dispatch of Goods or Services will not be made if payment has not been received by SBT. Goods which are required to be collected by Buyer at SBT’s premises will remain at SBT’s premises until payment has been received by SBT. 5.3 If SBT does not receive payment, then without limiting its rights under these Terms, SBT may: (a) by written notice to Buyer, suspend the provision of Goods or Services and defer any dates for delivery or collection, until after Buyer has paid to SBT: (i) the outstanding amount and any interest; and (ii) if SBT requires it, advance payment for the Goods; or (b) if SBT has shipped a part of the order: (i) retain any amount received from Buyer on account of the shipped Goods; or (ii) retain and resell the unshipped balance of the order. 5.4 Prices on the website are subject to change without notice. 5.5 Acceptable methods of payment include Visa and Mastercard.5.6 Prices displayed on website are inclusive of GST. 5.7 The prices displayed on the website are exclusive of delivery fees, shipping and handling, customs charges.
6. Order Placement6.1 SBT does not request purchase orders to place an order.6.2 SBT is under no obligation or liability if the buyer does not supply a purchase order.
7. Acceptance, Returns and Restocking Fee 7.1 The Buyer must examine the Goods. Unless the Buyer gives written notice to SBT of any defects in the Goods or their failure to correspond with specifications within seven days of the Delivery Date, the Buyer is deemed to have accepted the Goods as being or merchantable quality, corresponding with Specifications and free of defects.a. Accepted returns where Sloanebuilt is not at fault or the return is a change of mind, or an error on behalf of the customer, return postage will be the responsibility of the customer; and any costs incurred by SBT to process the refund will be deducted from the amount owed.b. Accepted returns where an item is faulty, or an error on behalf of SBT; postage will be covered by SBT.
8. Delivery and Collection 8.1 Delivery and collection dates are quoted in good faith but are not guaranteed. SBT cannot assume any risk or liability for delay or nonfulfillment of shipments due to acts of God, war, strikes, breakdown, fires, government orders, or other causes beyond SBT’s control. 8.2 Unless otherwise agreed, SBT may select the method of delivery and is not liable for any loss or damage of any kind whatsoever arising from late delivery. 8.3 SBT will deliver the Goods in accordance with the delivery details set out on the online order or as agreed with the Buyer. SBT is under no liability whatsoever if it does not deliver the Goods on the Delivery Date. 8.4 Buyer acknowledges and agrees that in relation to delivery and that even if the Goods are delivered after the requested date, where Buyer accepts the Goods it must pay for the Goods by the due date.8.5 Buyer acknowledges and agrees that time is of the essence in relation to collection. If Buyer fails to collect any Goods on the collection date, SBT may charge a storage fee. 8.6 If the Buyer does not collect the Goods, or the Buyer does not provide SBT with forwarding instructions sufficient to enable it to deliver the Goods within 14 days of notification by SBT to the Buyer that they are ready for delivery (Deemed Delivery Date), the Buyer is deemed to have taken delivery of the Goods and any amount stated on the Tax Invoice to be due on the Delivery Date will be due on the Deemed Delivery Date. The Buyer will reimburse SBT for any storage charges for the Goods within 14 days of receiving an invoice from SBT.8.7 If Buyer fails to provide SBT with forwarding instructions sufficient to enable SBT to deliver the Goods within fourteen (14) days of notification by SBT to Buyer that the Goods are ready for delivery (Deemed Delivery Date), Buyer is deemed to have taken delivery of the Goods and any amount stated in the Invoice to be due on the delivery date will be due on the Deemed Delivery Date. Buyer will reimburse SBT for any storage charges for the Goods within fourteen (14) days of receiving an invoice from SBT. 8.8 Prior to delivery or collection, the parties may agree to a change of the delivery or collection date.8.9 Buyer acknowledges and agrees that in relation to delivery and that even if the Goods are delivered after the requested date, where Buyer accepts the Goods it must pay for the Goods by the due date.8.10 SBT do not issue delivery dockets.8.11 SBT will issue the goods without a delivery docket and is under no liability if the goods are not delivered with a proof of delivery. The buyer must examine and accept in accordance with buyer’s order.
9. Changes to the Specifications 9.1 Buyer may at any time request that changes be made to the specifications for the Goods by submitting a formal written request to SBT. If Buyer requests such a change, SBT will review the request and if it is approved SBT will inform Buyer of any changes to the Purchase Price, delivery or collection date or specifications. In the event that the proposed change will require a delay in delivery of the Goods or an additional expense to Buyer, then Buyer and SBT will confer, and Buyer will, in its discretion, elect either to withdraw its proposed change or require SBT to deliver the Goods with the proposed change and subject to any delay or additional expense. 10. Cancellation or Deferral10.1 Once an order is accepted by SBT, the Buyer is bound by the order, and will, at SBT’s discretion, pay all costs, losses, charges and expenses incurred by SBT associate with any cancellation or deferral of the order by the Buyer, including, but not limited to SBT’s costs of:10.2 The costs, losses, charges and expenses include, but are not limited to, SBT’s costs of: (a) purchasing the materials to manufacture the Goods; (b) manufacturing the Goods; (c) re-working the Goods in order to re-sell the Goods; (d) selling the Goods at a lower price than the price in SBT’s quote to Buyer as set out in the Invoice; (e) disposing of the Goods; and (f) any combination of these costs. 10.3 Custom orders are not subject to cancellation or termination.
11. Title11.1 Buyer does not receive title in any Goods until SBT receives payment in full (including, if applicable, any service charges, interest, and costs).11.2 Until title to the Goods has passed to the Buyer in accordance with this clause, the Buyer holds the Goods as fiduciary bailee of SBT and the Buyer agrees to store the Goods separately so that the Goods are identifiable as SBT’s property. The Buyer has the right to sell the Goods in the ordinary course of trade if the Buyer accounts to SBT for all payments, including payments by third parties, in accordance with the Buyers fiduciary relationship.11.3 The risk of loss or damage to the Goods passes to the Buyer on delivery to, or collection by, the Buyer of the Goods.
12. Excusable Delays12.1 SBT is not liable for any delay in or failure to comply with these Terms and Conditions where such delay or failure was due to any cause beyond SBT’s reasonable control.
13. Errors and Omissions 13.1 Any error or omission in any sales literature, quotation, invoice or other document or information issued by SBT is subject to correction without any liability on SBT’s part.a. This clause does not exclude or limit the application of any provision of any statute (including the Trade Practices Act 1974) where to do so would contravene that statute or cause any part of this clause to be void.b. SBT excludes all implied conditions and warranties except any implied condition or warranty the exclusion of which would contravene any statute or cause any part of this clause to be void (Non-excludable Condition).
14. Warranties14.1 (a) the only guarantee, warranty or condition provided in relation to any Goods or Services is any express warranty that SBT provides; and (b) SBT excludes all liability in relation to the Goods or Services, whether in contract, tort or otherwise, including all liability for any consequential loss or damage. 14.2 Subject to clause 16.5, nothing in clause 16.1 excludes, restricts or modifies: (a) the application of any consumer guarantee in the Australian Consumer Law (Consumer Guarantee) or any similar provision in the law of any State or Territory that cannot be excluded, restricted or modified (Similar Provision); (b) the exercise of any right conferred by a Consumer Guarantee or Similar Provision; or (c) SBT’s liability under any Consumer Guarantee or Similar Provision. 14.3 Where permitted and to the full extent permitted by law, SBT’s liability under any Consumer Guarantee or Similar Provision is limited, at SBT’s option, to: (a) in the case of Goods, the repair or replacement of those Goods, the supply of equivalent Goods, the payment of the cost of repairing or replacing the Goods or acquiring equivalent Goods; and (b) in the case of Services, supplying those Services again, or paying the cost of having the Services supplied again. 14.4 Subject to clause 16, SBT’s entire liability to Buyer for breach of these Terms will be limited to the prices paid by the Buyer in connection with these Terms. SBT will not be liable for any indirect or consequential losses of the Buyer. Any warranty work will be performed by SBT at SBT’s premises or by a repairer approved by SBT and authorised by SBT to perform the work. Should any warranty work be required, SBT will issue an order approving the work before it is performed. 14.5 Subject to this clause SBT warrants that any Goods will be free from defects in material and workmanship for two (2) years from the date of delivery or the date of the Invoice, whichever is earlier (Warranty Period). 14.6 The warranty under clause only applies to Buyer and is not transferable to any third party. The warranty does not apply to proprietary items such as tyres, brakes, rims, wheels, suspensions, tarps, hoists and similar equipment which is covered by individual manufacturers’ third party warranties. 14.7 Without limiting clause, the warranty only applies during the Warranty Period so long as the following conditions are met: (a) the Goods were manufactured by SBT and were new at the date of delivery; (b) the Goods have been used in accordance with legal loading and speed limits, correctly coupled and operated in such a manner as may be prescribed by SBT or if SBT does not prescribe such condition then in such manner as is normal for such products; (c) Buyer has submitted the products for testing and inspection during the warranty period in accordance with SBT’s owner service policy dealing with adjustments and inspections; (d) no replacement part has been used in relation to the products other than one manufactured and supplied or approved by SBT; (e) the Goods have not been repaired, altered or modified in anyway whatsoever by person other than SBT or its authorised service representatives. (f) the Goods (or affected component parts) have been returned to SBT’s Dealer for rectification or replacement within the Warranty Period (the cost of transportation of the products to and from the dealer will be paid by Buyer). (g) the Goods have been fully paid for; and (h) the Goods have been maintained and serviced in accordance with the recommended service scheduled provided by SBT and the parts manufacturer as applicable. Maintenance, service and warranty specific information is provided in the delivery docket. 14.8 This manufacturer warranty shall not make SBT liable in any way for defects arising directly or indirectly from: (a) Fair wear and tear of the products, including but not limited to tarps, tyres, rims, bumpers, bodywork, and paintwork.(b) Incorrect, faulty, or negligent operation or maintenance of the products, including the use of coatings or cleaning agents not expressly approved in writing by SBT.(c) Misuse or improper operation of the products, including but not limited to overloading.d) Negligence or errors in storing, maintaining, or handling the products, including the use of unsuitable cleaning agents.(e) Continued use of the products after the discovery of a deficiency that has not been rectified.(f) Any cause not directly attributable to SBT.14.9 Except as expressly provided under this manufacturer’s warranty, SBT makes no additional warranties regarding the products. Under no circumstances shall SBT be liable for any damages, whether direct, indirect, special, or consequential, arising from or in connection with the use of the products, whether due to SBT’s negligence or otherwise. This includes, but is not limited to, loss of freight, loss of earnings, or loss of contracts.
15. Limitation of Liability15.1 This clause operates to limit SBT’s liability for a breach of:a. The manufacturer warranty; or b. An implied condition or warranty (to the extent permitted by law) to any one or more of the following as determined by the SBT: (i) The replacement of the products or the supply of equivalent products; or(ii) The repair of the products; or(iii) The payment of the cost of replacing the products or of acquiring equivalent products; or(iv) The payment of the cost of having the products repaired;(v) In the case of goods, to any one or more of the above as determined by the SBT. c. Replaced parts become the property of the SBT. If parts are returned under this warranty the purchaser is not thereby entitled to make any deduction from remittances or current accounts without the SBT’s consent. 15.2 This site may contain links to third-party websites that are not under SBT’s control. SBT makes no claim and accepts no responsibility regarding the quality, nature, or reliability of the other site. SBT provides links to these other sites as a mean of convenience to the customer, ad the inclusion of the link does not imply endorsement by SBT.
16 Intellectual Property Rights16.1 All Intellectual Property Rights in the Goods remain those of SBT at all times and Buyer agrees that it will not infringe any of SBT’s Intellectual Property Rights.16.2 All drawings, technical specifications and other intellectual property supplied or made available to Buyer by SBT are subject to copyright and are strictly confidential. Buyer must not:(a) communicate any details of any drawings or technical specifications to any third party without SBT’s prior written consent; or(b) make any copies of or use the drawings or technical specifications for any purpose other than expressly authorised in writing.
17. Confidentiality 17.1 Buyer represents and warrants that it will: (a) receive in strict confidence and hold in a protected manner all Confidential Information; (b) provide access to the Confidential Information only to those of its directors, officers, employees, consultants, or advisors who require the Confidential Information in the furtherance of these Terms, provided that all such persons must: (i) be advised of the obligation of confidentiality under these Terms; and (ii) be bound by obligations of confidentiality at least as restrictive as set forth in these Terms, and, for the absence of doubt, without limiting SBT’s rights against any person under these Terms, at law, in equity, or otherwise, Buyer remains responsible and liable for any and all loss (including consequential loss), damage, settlement, and expense (including legal costs on an indemnity basis) incurred by SBT as a result of any unauthorised use or disclosure of Confidential Information by any such person; and (c) for the term of these Terms and for a period of three (3) years from the expiry or termination of these Terms, not use, copy, or reproduce the Confidential Information, in whole or in part, without SBT’s prior written consent. 17.2 Except as required by law (and limited to that extent), Buyer must not disclose any Confidential Information to any third party. 17.3 Each party agrees that only those directors, officers, employees, consultants, or advisors of each party who require the Confidential Information in the furtherance of these Terms (collectively, “Representatives”) will have access to the Confidential Information. 17.4 The obligations contained in this clause 19 survive expiration or termination of these Terms for the period specified in section 19.1(c).
18. Governing Law These Terms will be governed by and interpreted according to the laws of New South Wales, Australia and SBT and Buyer consent and submit to the jurisdiction and courts of New South Wales.
19. Waiver/Severability Either party’s failure to enforce any provision will not be a waiver of the party’s rights to subsequently enforce the provision. If any of the provisions of these Terms are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions will be modified, limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms, so that these Terms will remain in full force and effect.
20. Entire Agreement These Terms contain the entire agreement between the parties about its subject matter. Any previous understanding, agreement, representation or warranty relating to that subject matter is replaced by these Terms and has no further effect. No general terms and conditions of Buyer referred to in purchase orders, order confirmations or elsewhere applies, except as expressly agreed in writing. To the extent there is a conflict these Terms will prevail. SBT may use standard business forms or other communications (such as quotes, invoices, confirmations or shipping documents), but use of these forms is for convenience only and will not alter or supersede the provisions of these Terms unless otherwise agreed to in writing by the parties.
21. Competitions and Giveaways21.1 The Competition is open to individuals aged [minimum age] or older at the time of entry.21.2 Employees, affiliates, and immediate family members of the Organizer are not eligible to participate.21.3 The Competition is open to residents of Australia only. 21.4 The Competition period will run in the defined date and time disclosed on competition advertising only.21.5 Entries submitted after the deadline will not be considered.21.6 Entrants must comply with the eligibility requirements outlined.21.7 The winner will be selected at random and notified in writing. The winner will be notified by email within 7 days of the draw. And must provide a postal address to claim their prize. If the winner cannot be contacted or does not claim the prize within 14 days of notification, we reserve the right to withdraw the prize from the winner and pick a replacement winner. Sloanebuilt shall be entitled to select another in accordance with the process described above (and that winner will have to respond to notification of their win within 14 days or else they will also forfeit their prize). If a winner rejects their prize or the entry is invalid or in breach of these terms and conditions, the winner’s prize will be forfeited and Sloanebuilt shall be entitled to select another winner. The prize will be sent to the winner by Sloanebuilt via post unless otherwise agreed to by Sloanebuilt and the winner.21.8 Prizes are non-transferable and cannot be exchanged for cash or other alternatives.21.9 SBT reserves the right to substitute a prize with an item of equal or greater value.21.10 SBT reserves the right to disqualify any entrant who violates these Terms, engages in fraudulent activities, or submits inappropriate content.21.11 SBT is not responsible for lost, late, incomplete, or misdirected entries due to technical issues.21.12 SBT is not liable for any injury, loss, or damage resulting from participation in the Competition or acceptance of any prize.21.13 SBT reserves the right to modify, suspend, or cancel the Competition at any time due to unforeseen circumstances.
22. Discount and Coupon Codes22.1 By using an Offer, customers agree to be bound by these terms set by SBT.22.2 Offers are available only to customers who meet the specific criteria stated in the promotion.22.3 Offers may be limited to new or existing customers, specific locations, or certain products/services.22.4 Each Offer has an expiration date, after which it will no longer be valid. Expired Offers will not be honoured.22.5 Offers cannot be combined with any other promotions, discounts, or special pricing unless explicitly stated.22.6 Offers are valid for one-time use per customer unless otherwise specified.22.7 Coupons and discount codes must be entered at checkout or presented before purchase to be applied22.6 Discounts and offers are not able to be used in conjunction with SBT customer 30-day accounts. 22.7 All purchases including discounts and sales must be paid for upfront, and cannot be paid for using delayed payment terms or payment plans..22.8 Offers cannot be redeemed for cash, credit, or gift cards.22.9 Some Offers may only be applicable to specific products, services, or categories. Exclusions may apply.22.10 Offers may be subject to minimum purchase requirements.22.11 The company reserves the right to modify or terminate any Offer at any time without prior notice.22.12 In case of disputes regarding Offer use, the company’s decision is final.22.13 The company is not responsible for lost, stolen, or misused coupons or discount codes.22.14 By entering the competition, participants agree to the possible use of their name and image in any publicity material, as well as their entry. By using this site, you agree to the Internet Privacy Policy of this website ("the website"), which is set out on this website page.
